Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Galveri™ (galveri.ai and all associated subdomains and services), operated by American Directional Driller, Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Definitions

  • "Holder" — an individual who claims and manages their own professional credentials through the Service.
  • "Issuing Organization" — any employer, training organization, or credentialing body that issues credentials to Holders through the Service.
  • "Verifying Organization" — any company or individual that queries credential status for a Holder who has granted access.
  • "Credential" — any professional certification, training completion, license, qualification, or authorization record managed through the Service.
  • "Galveri Number" or "Galveri #" — a platform-issued unique product or asset identifier in the Galveri Number System.

3. SMS and Mobile Messaging

SMS Verification — Account Authentication

As part of account registration and login, Galveri™ may send one-time SMS verification codes to the mobile phone number you provide. By checking the required consent checkbox ("I agree to receive SMS verification codes at my registered phone number for account authentication"), you expressly consent to receive these messages.

SMS messages are used exclusively for account authentication. We do not send marketing or promotional messages via SMS. Message and data rates may apply. Message frequency: one message per login or verification event. Reply STOP to opt out. Reply HELP for help, or contact help@galveri.ai. Opting out disables SMS-based authentication.

4. Credential Holder Rights and Responsibilities

Ownership of Professional Identity

Holders retain full ownership of their professional credential portfolio. No Issuing Organization, employer, or third party acquires ownership of a Holder's credential records by virtue of participating in the Service. Your credentials are yours.

Accuracy

Holders are responsible for ensuring that uploaded or manually entered credential information is accurate. Misrepresentation of credentials through the Service may constitute fraud and may result in immediate account termination and referral to appropriate authorities.

Disclosure Control

Holders control who can access their credential data. You may set each credential to FROZEN (no disclosure), RESTRICTED (selective disclosure per grant), or OPEN (any verified query). You may revoke any access grant at any time, effective immediately, for all future queries.

Data Withdrawal

Holders may request withdrawal of personal data as described in our Privacy Policy. Certain compliance event records and credential issuance records may be retained as required by law or by the terms of the Issuing Organization even following a withdrawal request.

5. Issuing Organization Responsibilities

Organizations issuing credentials through the Service warrant that:

  • They have the authority to issue the credential type represented.
  • All issued credential records accurately reflect completed training, testing, or qualification events.
  • Credentials subject to expiration will be maintained with accurate expiration dates.
  • Credentials will be promptly revoked or updated upon learning that the underlying qualification is no longer valid.

Issuance of false or fraudulent credentials may result in immediate account termination and may expose the organization to legal liability.

6. Verifying Organization Responsibilities

Verifying Organizations accessing credential data agree that:

  • Verification results will be used solely for the purpose disclosed to the Holder at time of access grant.
  • A COMPLIANT result is a point-in-time determination and does not guarantee ongoing compliance.
  • Employment, engagement, or access decisions comply with all applicable employment and anti-discrimination laws.
  • Verification results will not be shared with third parties beyond the disclosed purpose without the Holder's separate consent.

7. Zone Compliance and Safety-Critical Use

The Service's zone compliance engine assists site operators in managing credential-based access controls. You acknowledge that:

  • Compliance determinations are based solely on credential data present in the Service at the time of query. The Service cannot verify physical presence, competence, or fitness for duty beyond credentialing records.
  • A COMPLIANT determination does not relieve the site operator of independent safety obligations under OSHA, MSHA, BSEE, or any other applicable regulatory framework.
  • Physical gate lock integrations are the site operator's responsibility. The Service provides the compliance signal; the operator controls the physical enforcement mechanism.
  • Safety-critical decisions — including confined space entry, energized electrical work, and similar hazardous operations — must be made by competent persons in accordance with applicable regulations, not solely on the basis of a Service compliance result.

8. Galveri Number System — Product Identity

The Galveri Number System provides platform-issued unique product and asset identifiers. Users of this feature agree to maintain accurate registration data and to comply with all applicable laws and regulations governing the products or assets they register. Additional terms governing specific features of the Galveri Number System will be published at the time those features are made generally available.

9. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for all activities that occur under your account. Notify us immediately at help@galveri.ai if you suspect unauthorized access.

10. Subscriptions and Payment

Access to paid features requires a subscription. Fees are billed in advance on a monthly or annual basis, as selected. All fees are in US dollars and are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days' written notice. You may cancel at any time; cancellation takes effect at the end of the current billing period.

11. Prohibited Conduct

You may not use the Service to:

  • Submit, upload, or transmit false, inaccurate, or fraudulent credential information.
  • Impersonate another person or organization.
  • Attempt to access credential data for any Holder who has not granted you access.
  • Reverse-engineer, scrape, or harvest Service data beyond your authorized access scope.
  • Interfere with or disrupt Service infrastructure or security controls.
  • Use Service data to facilitate discrimination in violation of applicable law.
  • Resell or sublicense access to the Service without a written agreement with us.

12. Intellectual Property

You retain ownership of credential data you contribute to the Service. By submitting data, you grant us a limited, non-exclusive license to store, process, and transmit that data as necessary to operate the Service. All other rights in the Service are reserved.

13. Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, and protect your information, including credential data, location data, and SMS consent data.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMERICAN DIRECTIONAL DRILLER, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00). Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for gross negligence or willful misconduct.

Limitation Period. Any cause of action or claim arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues, or it shall be forever barred.

16. Indemnification

You agree to indemnify, defend, and hold harmless American Directional Driller, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your credential data, or your violation of these Terms.

17. Termination

We may suspend or terminate your access at any time, with or without cause, including for violation of these Terms. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. Sections 12, 14, 15, 16, 19, 22, and 23 survive termination.

18. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the Service constitutes acceptance of the updated Terms.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law provisions. Any dispute shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations. Arbitration shall take place in Colorado, USA.

Class Action Waiver. YOU AND AMERICAN DIRECTIONAL DRILLER, INC. AGREE THAT ANY DISPUTE WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You expressly waive any right to participate in a class action, class arbitration, or representative action against American Directional Driller, Inc.

20. Force Majeure

Neither party shall be liable for any failure or delay in performing any obligation under these Terms (other than payment obligations) where such failure or delay is caused by events beyond that party's reasonable control, including acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil disturbance, governmental action, labor disputes, failure of infrastructure or third-party services, or any other force-majeure event. The affected party shall promptly notify the other party and use reasonable efforts to resume performance as soon as practicable.

21. Assignment

We may assign, transfer, or delegate these Terms and any rights or obligations hereunder in connection with a merger, acquisition, reorganization, corporate restructuring, sale of substantially all assets, or change of control, without notice to you or your consent. You may not assign or transfer these Terms or any rights hereunder without Our prior written consent. Any attempted assignment in violation of this Section shall be null and void.

22. Export Control and Sanctions

These Terms and the provision of the Service by American Directional Driller, Inc. are subject to all applicable U.S. export control and economic sanctions laws and regulations, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC"), the U.S. Department of Commerce's Bureau of Industry and Security ("BIS"), and the U.S. Department of State.

By creating an Account or using the Service, you represent, warrant, and covenant that (a) you are not located in or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions (as of the date of these Terms, such jurisdictions include Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) you are not a person identified on OFAC's Specially Designated Nationals and Blocked Persons List, the Denied Persons List, Entity List, Unverified List, or any other U.S. government restricted-party list; (c) you will not use the Service to engage in or facilitate any transaction, technology transfer, or activity prohibited by U.S. export control or sanctions laws; and (d) you will not share, export, re-export, or transfer any credential data, reports, or Service output to any person or entity described in (a) or (b).

Any violation of this Section is a material breach of these Terms and shall result in immediate termination of your Account, forfeiture of any prepaid fees, and revocation of any credentials issued through the Service. We reserve the right to report suspected violations to the appropriate U.S. government authorities. U.S. sanctions programs are dynamic; the country list above is informational only, and the obligations in this Section extend to all sanctions programs in effect from time to time.

23. DMCA Notice and Takedown

American Directional Driller, Inc. respects the intellectual property rights of others. If you believe Content on the Service infringes your copyright, please submit a written notice to Our designated DMCA agent that includes: (a) a physical or electronic signature of the copyright owner or authorized representative; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its location on the Service; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.

DMCA Agent. Our designated DMCA agent is reachable at legal@galveri.ai and is registered with the U.S. Copyright Office.

Counter-Notice. If your Content has been removed pursuant to a DMCA notice and you believe the removal was in error, you may submit a counter-notice under 17 U.S.C. § 512(g) to the address above.

Repeat Infringers. We will terminate the Accounts of users who are repeat infringers.

24. Electronic Acceptance and Signatures

By clicking "I accept", creating an Account, accessing the Service, or using any feature, you agree that you are entering into a legally binding agreement with American Directional Driller, Inc. and that your electronic acceptance has the same legal force and effect as a handwritten signature. You consent to receive all communications, notices, agreements, disclosures, and records in electronic form, delivered by email or through the Service. This consent is given under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and the Colorado Uniform Electronic Transactions Act. You may withdraw this consent at any time by emailing legal@galveri.ai, but doing so may prevent Our ability to provide the Service to you.
